Tuka Terms and Conditions

Welcome to Tuka. These Terms and Conditions ("Terms") govern your use of the Tuka service ("Service"), which you can access without creating an account or downloading an app, typically by tapping an NFC-enabled device at a partner hotel or by starting a chat with Tuka. By tapping the Tuka device, starting a chat, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Triple W Collective, LLC, an Illinois limited liability company, d/b/a Tuka ("Tuka," "we," "us," or "our").

2. Description of Service

Tuka is a local recommendation and booking service made available to guests at partner hotels. Through a simple NFC tap, no app or download required, you can browse a curated, live map of local recommendations, chat with Tuka's concierge for personalized suggestions, and request that Tuka handle a reservation on your behalf by text. Tuka's recommendations are curated for the hotel's neighborhood and are not pulled from open, unmoderated listings.

3. No Account Required; Eligibility

The Service does not require you to create an account, register a username, or set a password. To use the Service, we will ask for your name and phone number so Tuka's concierge can communicate with you and complete any requested booking on your behalf; providing this information does not create a persistent account or login. The Service is intended for use by adults. If you are under 18, you should use the Service only with the involvement or permission of a parent or guardian.

4. How the Service Works

When you tap the NFC-enabled device or start a chat with Tuka, you will be asked for your name and phone number so Tuka can communicate with you and, if needed, follow up on a request. You may then browse recommendations, ask Tuka questions, and request that Tuka arrange a reservation with a recommended local business. If able, Tuka will confirm the details and complete the booking on your behalf. Reservation requests are subject to the availability of the applicable third-party business, and Tuka does not guarantee that any requested reservation can be secured. Tuka does not collect or store your payment card information; any payment for a booked reservation is handled directly between you and the applicable third-party business.

5. Guest Data and Privacy

Tuka collects and uses information from your interaction with the Service, including your name, phone number, and the content of your requests, chat messages, and booking details, only as reasonably necessary to communicate with you, provide recommendations, and facilitate bookings on your behalf. We do not sell your personal information. Tuka retains identifiable information only as long as reasonably necessary to complete your request, and anonymizes or deletes it promptly afterward. We may use anonymized, aggregated data to improve and train Tuka's recommendation and chat systems; this data will not identify you. Our full collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms. We implement reasonable security measures to protect your information, but we cannot guarantee absolute security.

6. Third-Party Businesses and Activities; Assumption of Risk

Tuka acts solely as an intermediary that recommends and facilitates bookings with independent, third-party local businesses, such as restaurants, tours, and activity providers. Tuka does not own, operate, or control any recommended business, and is not a party to the arrangement between you and that business. Neither Tuka nor the hotel where you are staying is responsible for a recommended business's cancellation, delay, or quality of service, or for any injury, illness, loss, or damage you incur while patronizing or participating in a recommended business or activity. Participation in any recommended activity is voluntary and at your own risk. Some activities carry inherent risks, and higher-risk activities (such as biking, boating, or climbing) may require you to complete a separate waiver or consent directly with that activity's operator before participating; it is your responsibility to review and complete any such waiver.

7. Hotel Partners

Tuka is made available to you through an agreement between Tuka and the hotel where you are staying. The hotel is not a party to these Terms, does not control Tuka's Service, and is not responsible for Tuka's acts or omissions. Your relationship with the hotel regarding your stay (such as your room reservation) is governed separately by your agreement with the hotel.

8. Intellectual Property Rights

The Service, including its design, features, functionality, curated content, and all underlying technology, is owned by Tuka and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Service without our express written permission.

9. Prohibited Conduct

You agree not to: use the Service for any unlawful purpose; provide false, misleading, or fraudulent information in a request or booking; harass, threaten, or abuse Tuka's concierge or any third-party business; attempt to gain unauthorized access to the Service or interfere with its operation; use automated systems or bots to access the Service; or impersonate any person or entity. We reserve the right to refuse service, end a chat, or decline to process a request if we believe these Terms have been violated, and to report illegal activity to law enforcement authorities.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY REQUESTED RESERVATION WILL BE AVAILABLE OR CONFIRMED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUKA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, OR DATA, ARISING FROM YOUR USE OF THE SERVICE OR YOUR INTERACTION WITH ANY RECOMMENDED THIRD-PARTY BUSINESS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tuka and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service or your violation of these Terms.

12. Modification of Service and Terms

We may modify, suspend, or discontinue the Service at any time. We may also modify these Terms from time to time; the current version will be available through the Service or at https://tuka.world/terms. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

13. Term

These Terms apply each time you access or use the Service, for as long as you do so. We may limit, suspend, or end your access to the Service at any time, including if we believe you have violated these Terms.

14. Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court. You waive any right to a jury trial or to participate in a class action.

15. General Provisions

These Terms are the entire agreement between you and Tuka regarding the Service. If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right.

16. Feedback and Suggestions

We welcome your feedback about the Service, including reviews of recommended businesses or your experience with Tuka. By providing feedback, you grant us the right to use it, including sharing it with the applicable business or hotel, without any obligation to you.
